Terms of Service

1. Acceptance of Terms

By creating an account or using AIChatVault ("Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AIChatVault provides a platform for creating, training, and deploying AI-powered chatbots and agents. Our services include:

• AI agent creation and customization tools
• Knowledge base training (document upload, URL crawling, Q&A management)
• Embeddable chat widgets for websites
• Conversation analytics and reporting
• API access for integrations

3. Account Registration

To use our Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

You must be at least 16 years old to create an account.

4. Subscription Plans & Billing

AIChatVault offers both free and paid subscription plans:

• Free Plan: Limited features and usage, available at no cost
• Paid Plans: Enhanced features and higher usage limits, billed monthly or annually
• Subscription fees are charged in advance on a recurring basis
• You may upgrade, downgrade, or cancel your subscription at any time
• Downgrades take effect at the end of the current billing period

5. Usage & Credits

Each plan includes a set number of AI message credits per billing cycle. Usage beyond included credits may:

• Result in temporary suspension of AI responses until credits renew
• Require purchasing additional credit packs
• Require upgrading to a higher plan

6. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Generate harmful, abusive, harassing, defamatory, or misleading content
• Impersonate any person or entity
• Distribute malware, spam, phishing content, or unauthorised advertising
• Attempt to gain unauthorised access to other accounts or systems
• Scrape, mine, or collect data from the platform in an unauthorised manner
• Use the Service for any illegal or unauthorised purpose

With respect to the REST API and integrations specifically, you also agree NOT to:

• Circumvent, disable, or attempt to bypass API rate limits or usage quotas
• Resell, sublicense, or redistribute API access to third parties without our prior written consent
• Use the API to build or assist in building a product or service that directly competes with AIChatVault
• Automate bulk conversation requests that simulate end-user interactions for the purpose of inflating usage metrics or gaming any pricing model
• Embed the API in any system that processes illegal content, facilitates fraud, or violates third-party platform policies

7. Your Data & Content

You retain ownership of all data you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to process, store, and use it solely for providing the Service to you.

You are responsible for ensuring that Your Content does not violate any third-party rights, including intellectual property rights.

8. AI-Generated Responses

AI-generated responses are produced by third-party AI models and may not always be accurate, complete, or appropriate. You acknowledge that:

• AI responses should be reviewed and verified for accuracy
• We are not responsible for decisions made based on AI responses
• You are responsible for configuring appropriate guardrails and instructions for your AI agents

9. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by AIChatVault and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

10. Attribution & Branding Requirements

10.1 Mandatory Attribution. All deployments of AIChatVault chatbots — including but not limited to website chat widgets, iframe embeds, REST API integrations, mobile application integrations (iOS, Android, Flutter, React Native), WhatsApp, Instagram, Facebook Messenger, email channels, and any other integration method — must visibly display the "Powered by AiChatVault" attribution to end users in every chat interface.

10.2 Prohibited Conduct. You must not, by any means, remove, hide, cover, obscure, make transparent, clip, reposition off-screen, suppress, or otherwise prevent end users from seeing the "Powered by AiChatVault" attribution. This prohibition applies to all technical methods including but not limited to: CSS overrides, HTML manipulation, DOM removal, server-side HTML stripping, shadow DOM encapsulation, WebView suppression, or any other technique.

10.3 REST API Integrations. The AIChatVault REST API embeds the "Powered by AiChatVault" attribution block (identified by the acv-branding CSS class) directly within the reply field of every API response. You must render this attribution block as-is in your user interface. Parsing the HTML response and removing, altering, or suppressing the acv-branding element constitutes a material breach of these Terms.

10.4 Authorised Removal. The sole authorised method to remove the "Powered by AiChatVault" attribution is to purchase the Brand Removal add-on or subscribe to the Enterprise plan, both of which grant a limited licence to omit attribution for the duration of the active subscription. This licence is non-transferable and terminates immediately upon cancellation or lapse of the applicable subscription or add-on.

10.5 API Key Agreement. By generating an API key, you explicitly confirm your agreement with this section. The date, time, and IP address of your agreement are recorded and may be used as evidence in enforcement proceedings.

10.6 Enforcement. Violation of this section constitutes a material breach of these Terms and will result in:

• Immediate suspension or termination of your account and all associated API keys without refund
• Potential legal action for breach of contract and/or trademark infringement
• Liability for damages including lost revenue attributable to unauthorised attribution removal

10.7 Monitoring. AIChatVault reserves the right to periodically audit integrations using our API keys to verify compliance with attribution requirements. Providing false information about your integration or otherwise circumventing this audit constitutes an additional breach of these Terms.

11. Third-Party Services & Integrations

The Service is built on and integrates with third-party platforms. By using the Service you acknowledge and agree that:

• AI Models (OpenAI, Google, Anthropic, etc.): AI responses are generated by third-party AI providers. You must comply with those providers' usage policies. We are not liable for the output of third-party AI models.
• Messaging Platforms (WhatsApp Business API / Meta, Instagram, Facebook Messenger): Use of our integrations with Meta platforms is subject to Meta's Platform Policies and WhatsApp Business Policy. You are responsible for ensuring your chatbot complies with these policies. We may disable integrations if Meta requires it.
• E-commerce Integrations (Shopify, WooCommerce): When using our Shopify or WooCommerce integrations, you must comply with those platforms' terms and app policies. We do not warrant compatibility with future versions of those platforms.
• Payment Processing (Stripe): Subscription payments are processed by Stripe. By subscribing, you also agree to Stripe's Services Agreement. We do not store payment card details.
• Hosting & Infrastructure (Google Cloud): The Service is hosted on Google Cloud Platform. Availability may be affected by Google Cloud outages beyond our control.
• No endorsement: References to third-party platforms do not constitute endorsement. You use third-party services at your own risk and subject to their respective terms.

If a third-party integration is modified, deprecated, or made unavailable by the third-party provider, we will make reasonable efforts to notify you but are not liable for service disruption resulting from such changes.

12. Limitation of Liability

To the maximum extent permitted by law, AIChatVault shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

13. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may delete your account at any time through your account settings. Upon termination:

• Your access to the Service will be revoked
• Your data will be deleted within 30 days unless required by law to retain
• Any outstanding fees remain payable

14. Changes to Terms

We may update these Terms from time to time. Each version is identified by a version date shown at the top of this page. We will notify you of material changes via email to your registered address at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. The version of the Terms you agreed to at account creation (or API key creation) is recorded in our system and may be used as evidence in any enforcement proceedings.

15. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India. Each party irrevocably submits to the exclusive jurisdiction of the courts located in India for the resolution of any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. The parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.
